1. Acceptance of Terms

1.1 These Terms of Service (“Terms”) constitute a legally binding agreement between Cikvi LLC (“Cikvi,” “we,” “us,” “our”) and the client (“Client,” “you,” “your”).
1.2 By engaging our services, scheduling appointments, or subscribing to our offerings, you agree to be bound by these Terms.
1.3 If you do not agree with any provision of these Terms, you must not use our services.


2. Collection and Use of Personal Information

2.1 Cikvi collects the following personal information for business and operational purposes:
a. Email address;
b. Phone number;
c. Billing and payment information.
2.2 Such information will be used solely for:
a. Client communication;
b. Service-related updates;
c. Business outreach and appointment management;
d. Marketing and promotional communications related to your account.
2.3 All personal information will be handled in compliance with applicable privacy laws.


3. Credit Card Authorization and Subscription Billing

3.1 A valid credit card must be kept on file for all subscription-based services.
3.2 The card on file will be charged for the subscription amount according to the plan selected by the Client.
3.3 No additional fees will be charged without prior notice and the Client’s consent.
3.4 All credit card information is processed securely through our third-party payment provider and is not stored directly by Cikvi.


4. Appointment Cancellation Policy

4.1 Standard Cancellations:
a. Appointments canceled less than forty-eight (48) hours before the scheduled time will incur a booking fee of up to twenty-five dollars ($25.00).
4.2 Short-Notice Appointments:
a. If an appointment is booked within twenty-four (24) hours of its scheduled time, the Client has twelve (12) hours from the time of booking to cancel or reschedule without penalty.
4.3 No-Show or Late Cancellation:
a. Failure to cancel or reschedule within the timeframes stated in 4.1 and 4.2 will result in the booking fee being charged to the payment method on file.


5. Payment Policy and Service Suspension

5.1 If a subscription payment is missed, Cikvi reserves the right to suspend or restrict services until all outstanding balances are paid in full.
5.2 Prolonged non-payment may result in termination of the subscription and associated services.
5.3 Reinstatement of services after suspension may require payment of all overdue balances and any applicable reactivation fees.


6. Refund Policy

6.1 All sales are final. Cikvi offers no refunds under any circumstances once a payment has been processed, unless a refund is explicitly approved in writing by Cikvi.
6.2 Approved refunds, if any, will be processed at the sole discretion of Cikvi and may be subject to processing fees.


7. Client Responsibilities

7.1 The Client is responsible for providing accurate and complete information necessary for Cikvi to perform its services.
7.2 The Client must respond to communication requests in a timely manner to avoid delays in service delivery.
7.3 Cikvi is not responsible for missed deadlines or reduced results caused by the Client’s failure to provide necessary information or materials.


8. Ownership of Client Materials

8.1 All materials, including but not limited to images, videos, branding, and intellectual property, provided by the Client remain the sole and exclusive property of the Client.
8.2 Cikvi does not claim copyright or ownership over any Client-provided materials.
8.3 Cikvi’s role is limited to managing, marketing, and promoting the Client’s business assets in accordance with the services contracted.


9. Service Termination

9.1 Cikvi reserves the right to terminate any service or subscription immediately, with or without cause, in the event of:
a. Non-payment;
b. Violation of these Terms;
c. Abusive, threatening, or inappropriate behavior towards Cikvi staff;
d. Any illegal or unethical business activities related to the services provided.
9.2 Upon termination, all outstanding balances will become immediately due.


10. Dispute Resolution and Chargebacks

10.1 Any billing disputes must be submitted in writing to Cikvi within seven (7) days of the charge.
10.2 The Client agrees not to initiate any chargeback or payment reversal without first attempting to resolve the matter directly with Cikvi.
10.3 Unauthorized chargebacks may result in immediate termination of services and additional collection actions.


11. Non-Disparagement

11.1 The Client agrees not to make any false, misleading, or defamatory statements about Cikvi, its services, or its employees, whether online or offline.
11.2 Violation of this clause may result in legal action.


12. Service Delivery Disclaimer

12.1 While Cikvi strives to provide timely and professional services, delivery timelines may be impacted by circumstances beyond our control, including but not limited to technical failures, third-party outages, and natural events.
12.2 Cikvi shall not be held liable for delays caused by such events.


13. Limitation of Liability

13.1 To the fullest extent permitted by law, Cikvi shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from the use of our services.
13.2 The total liability of Cikvi for any claim arising under these Terms shall not exceed the total amount paid by the Client for the specific service giving rise to the claim.


14. Force Majeure

14.1 Cikvi shall not be liable or responsible for any failure or delay in performance caused by events outside its reasonable control, including but not limited to natural disasters, war, labor disputes, government actions, internet outages, or acts of third parties.


15. Modifications to Terms

15.1 Cikvi reserves the right to amend or update these Terms at any time without prior notice.
15.2 Any material changes will be communicated to Clients via email or other reasonable means.
15.3 Continued use of our services after such changes constitutes acceptance of the revised Terms.


16. Governing Law

16.1 These Terms shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law provisions.
